$200 Top-Up Promotion — Terms and Conditions
1. Introduction
1.1 These terms and conditions ("Terms") govern the offer of a one-off $200 (NZ dollar) top-up contribution made available to all eligible members of the SuperLife Invest scheme that join the SuperLife KiwiSaver Scheme during the Promotion Period ("Promotion"). By participating in the Promotion, you agree to be bound by these Terms.
1.2 The Promotion is offered by Smartshares Limited ("Smart", "we", "us" or "our"), the manager and issuer of the SuperLife KiwiSaver Scheme ("Scheme").
1.3 The Scheme's Product Disclosure Statement ("PDS") is available at superlife.co.nz/legal. You should read the PDS before deciding to join or switch to the Scheme.
1.4 In these Terms, "you" or "your" refers to any person who participates or seeks to participate in the Promotion.
2. Promotion Period
2.1 The Promotion commences on Wednesday, 24 June 2026 and closes at 11:59 pm (New Zealand time) on 30 September 2026 ("Promotion Period").
2.2 Applications to join or transfer to the Scheme must be received by Smart by the end of the Promotion Period and must be accepted by Smart to be eligible. Late applications will not be accepted for the Promotion.
2.3 Smart reserves the right to extend or shorten the Promotion Period in accordance with clause 11.
3. Eligibility
3.1 To be eligible to participate in the Promotion, you must satisfy all of the following criteria ("Eligible Participant"):
- (a) you must be a New Zealand citizen or permanent resident who lives, or normally lives, in New Zealand and is otherwise eligible to join KiwiSaver under the KiwiSaver Act 2006;
- (b) you must hold an existing SuperLife Invest account at the time of your application to join or transfer to the Scheme, or you open a SuperLife Invest account during the Promotion Period;
- (c) you must not already be a member of the SuperLife KiwiSaver Scheme at the time of your application;
- (d) you must apply to join or transfer your existing KiwiSaver account to the Scheme via the SuperLife website at www.superlife.co.nz including the SuperLife member portal (my.superlife.co.nz) or by completing and submitting a paper application form during the Promotion Period; and
- (e) your application to join or transfer to the Scheme must be accepted by Smart and all customer due diligence requirements must be met to Smart’s satisfaction.
3.2 The following persons are not eligible for the Promotion:
- (a) persons who join the Scheme via an employer-chosen enrolment or auto-enrolment;
- (b) persons who join the Scheme via a paper application form or any method other than the SuperLife member portal;
- (c) persons who are already members of the SuperLife KiwiSaver Scheme as at the commencement of the Promotion Period;
- (d) persons who are not eligible to be a KiwiSaver member under the KiwiSaver Act 2006.
3.3 Each Eligible Participant may only participate in the Promotion once and will be eligible to receive only one Promotion Contribution (as defined in clause 4.1), regardless of the number of applications submitted.
3.4 Smart may, in its absolute discretion, determine whether a person is an Eligible Participant and may verify any information provided by an applicant. Smart’s decision on eligibility is final. Smart will refund any funds received in respect of rejected applications as soon as practicable, without any interest applied to those funds.
4. The Promotion Contribution
4.1 Each Eligible Participant who satisfies all the criteria in clause 3 will receive a one-off contribution of NZ$200 into their SuperLife KiwiSaver Scheme account ("Promotion Contribution").
4.2 The Promotion Contribution will be classified as a voluntary contribution to the Eligible Participant's account in the Scheme.
4.3 The Promotion Contribution:
- (a) cannot be redeemed for cash or any cash equivalent;
- (b) is not transferable, assignable, exchangeable, or negotiable;
- (c) cannot be applied to any other product or account; and
- (d) cannot be combined with any other promotional offer, bonus, or incentive offered by Smart or any related entity, unless Smart expressly states otherwise.
4.4 The Promotion Contribution will be credited to the Eligible Participant's Scheme account by 1 November 2026, provided the Eligible Participant's application has been fully processed and accepted and their Scheme membership is active at the time the Promotion Contribution is to be credited.
4.5 The Promotion Contribution will be invested in accordance with the investment instructions applicable to the Eligible Participant's Scheme account at the time the contribution is processed.
4.6 If an Eligible Participant's Scheme membership is terminated, transferred to another KiwiSaver scheme, or otherwise ceases before the Promotion Contribution is credited, the Promotion Contribution will not be paid and the Eligible Participant will have no claim against Smart in respect of the Promotion Contribution.
5. How to Participate
5.1 To participate in the Promotion, an Eligible Participant must:
- (a) log in to the SuperLife member portal at my.superlife.co.nz (or register for portal access if they have not already done so), apply via the SuperLife website at www.superlife.co.nz, or obtain a paper application form;
- (b) complete the online application or paper application (as applicable) to join or transfer their KiwiSaver account to the SuperLife KiwiSaver Scheme; and
- (c) submit the application during the Promotion Period.
5.2 All applications are subject to Smart’s' standard application assessment and customer due diligence processes. Smart is not obliged to accept any application and may, in its absolute discretion and for any reason, accept, reject, or defer the processing of any application.
6. Withdrawal Restrictions
6.1 The Promotion Contribution, once credited to an Eligible Participant's Scheme account, forms part of the Eligible Participant's Scheme account and is subject to the withdrawal restrictions under the KiwiSaver Act 2006 and the trust deed of the Scheme.

7. No Financial Advice
7.1 By making this Promotion available, Smart has not made any recommendation or given any opinion or financial advice as to the suitability of the SuperLife KiwiSaver Scheme, or any of its funds, for you or your particular circumstances.
7.2 The information provided in relation to the Promotion is of a general nature and does not constitute financial advice, investment advice, or any other professional advice.
7.3 You should make your own assessment about whether becoming a member of the Scheme is suitable for your personal circumstances and you should seek independent financial advice before making any investment decision. A copy of the Scheme's PDS is available at superlife.co.nz/legal.
8. Privacy
8.1 All personal information provided by you in connection with this Promotion, including when applying to join or transfer to the Scheme, will be collected, used, stored, and disclosed in accordance with Smart’s Privacy Policy (available at superlife.co.nz/legal/privacy-policy).

9. Liability and Disclaimers
9.1 To the maximum extent permitted by law, Smart will not be liable to any person for any loss, damage, cost, expense, or liability whatsoever (whether direct, indirect, consequential, or otherwise) arising from or in connection with:
- (a) participation in, or inability to participate in, the Promotion;
- (b) the crediting, non-crediting, or reversal of the Promotion Contribution;
- (c) any change in the value of the Promotion Contribution after it has been credited to a Scheme account (including as a result of market movements, fees, or taxes);
- (d) any transfer fees or charges that may be imposed by your existing KiwiSaver provider in connection with a transfer to the Scheme;
- (e) the loss of any benefits, incentives, or entitlements provided by your existing KiwiSaver provider;
- (f) any delay in the processing of your application or the crediting of the Promotion Contribution; or
- (g) any extension, variation, suspension, or termination of the Promotion or these Terms.
10. General Conditions
10.1 These Terms must be read in conjunction with the trust deed for the Scheme, the Scheme's PDS, and any other applicable documents. In the event of any inconsistency between these Terms and the trust deed or PDS, the trust deed and PDS will prevail to the extent of the inconsistency.
10.2 If Smart determines, in its sole discretion, that you have failed to comply with these Terms, or have engaged in conduct that is fraudulent, misleading, or otherwise inappropriate, Smart may take any action it considers appropriate, including:
- (a) disqualifying you from the Promotion;
- (b) cancelling and reversing any Promotion Contribution credited to your Scheme account; and
- (c) excluding you from any future promotions offered by Smart.
10.3 Any failure by Smart to enforce any of these Terms does not constitute a waiver of Smart’s rights under these Terms.
11. Variation and Termination
11.1 Smart reserves the right, in its sole discretion, to cancel, suspend, extend, postpone, amend, or otherwise modify the Promotion or these Terms at any time and for any reason, upon providing reasonable notice, which shall include posting notice of any change on superlife.co.nz.
11.2 Any revision to these Terms will apply to all applications submitted after the date the revised Terms are published. Eligible Participants who have already met all conditions of the Promotion before the date of any variation or termination will remain eligible for the Promotion Contribution, subject to clause 4.6.
11.3 No claim may be made against Smart in connection with any extension, variation, suspension, or termination of the Promotion or these Terms.
12. Disputes
12.1 In respect of any dispute regarding the Promotion, eligibility, or the payment of the Promotion Contribution, Smart’s decision is final and binding, and no correspondence or discussion will be entered into, except as required by law.
12.2 Nothing in this clause limits your right to make a complaint under Smart’s internal complaints process or its independent dispute resolution service.
13. Governing Law
13.1 These Terms are governed by and must be construed in accordance with the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the courts of New Zealand.
